This SaaS Subscription Agreement (the "Agreement") is entered into by and between Administr, LLC, a Utah Limited Liability Company with offices at 336 East University Pkwy, Orem, UT 84058 ("Administr"), and the entity or individual appearing on the applicable Order Form ("Customer").
Subscription: Subject to the terms of this Agreement, Administr will provide Customer with access to its proprietary software platform (the "Service").
Support: Administr will provide standard technical support via email at support@administr.com and via phone at 1-866-846-4855 during standard business hours (Mountain Time).
Usage: Customer shall not, directly or indirectly: Copy, modify, distribute, reverse engineer, decompile, or disassemble Administr's software; remove proprietary notices; or use the Service for the benefit of a third party.
Upon execution of this Agreement and payment of applicable fees, Administr grants Customer a non-exclusive, non-transferable, and revocable license to access Administr's software and services, solely for internal business operations. The license is subject to the terms outlined herein.
Compliance: Customer represents and warrants that their use of the Service will comply with all applicable laws and regulations.
Fees: Customer will pay Administr the fees as specified in the Order Form or selected subscription plan. All fees are non-refundable except as required by law.
Taxes: Fees are exclusive of taxes. Customer is responsible for all sales, use, and value-added taxes associated with the Service.
Late Payments: Unpaid fees are subject to a finance charge of 1.5% per month on any outstanding balance, plus all expenses of collection. If fees are not paid within 30 days, Administr reserves the right to suspend services/access to the software.
Administr Ownership: Administr retains all right, title, and interest in and to the Service, including all intellectual property rights.
Customer Data: Customer owns all data, information, or material that Customer submits to the Service ("Customer Data"). Customer grants Administr a non-exclusive, worldwide license to host, copy, and display Customer Data solely to provide the Services.
Term Monthly Subscription: This Agreement begins on the Effective Date (date you started your subscription) and continues until the subscription specified in the Order Form expires or is terminated. Either party may terminate the Agreement with 30 days' written notice. Upon termination, Customer must discontinue the use of Administr's services.
Term Annual Subscription: Unless otherwise specified, the term of this agreement is one year, begins on the Effective Date (date you started your subscription), and will automatically renew for successive one-year periods unless terminated by either party with 30 days' written notice prior to the renewal date.
Termination for Cause: Either party may terminate this Agreement if the other party materially breaches the terms and fails to cure such breach within thirty (30) days of notice.
Effect of Termination: Upon termination, Customer's right to access the Service will immediately cease. Administr will make Customer Data available for export for thirty (30) days following termination.
IN NO EVENT SHALL ADMINISTR, LLC BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. ADMINISTR'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY CUSTOMER TO ADMINISTR IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.
By Administr: Administr shall defend Customer against any third-party claim that the Service infringes a U.S. patent or copyright, provided Customer gives prompt notice.
By Customer: Customer shall defend Administr against any claim arising from Customer's use of the Service in violation of this Agreement or applicable law.
This Agreement shall be governed by the laws of the State of Utah, without regard to conflict of law principles. Any disputes arising from this Agreement shall be resolved exclusively in the state or federal courts located in Utah County, Utah.
